About Estavo and these terms

Estavo is a property-management platform available through the Estavo website and application.

Estavo is a trading style of Vossco. References in these terms to “Estavo”, “we”, “us” or “our” mean the person or business operating the Estavo service.

Acceptance of these terms

You agree to these terms when you:

• Create or use an Estavo account.
• Access any part of the Estavo application.
• Order or pay for a Marketplace service.
• Purchase storage, SMS credits or another add-on.
• Continue using Estavo after being notified of an updated version of these terms.

If you use Estavo on behalf of a business, partnership, company or another person, you confirm that you have authority to accept these terms on their behalf.

Eligibility to use Estavo

You must be at least 18 years old and legally capable of entering into a binding agreement to create an Estavo landlord account.

You must provide accurate account information and must not create an account using another person’s identity or business details without permission.

Estavo is intended principally for landlords, property owners and authorised people involved in managing property records. Availability of particular features may depend on your account type, role, plan or location.

Accounts and security

You are responsible for maintaining the security of your Estavo account and the sign-in methods connected to it.

You must:

• Keep passwords, passkeys and authentication information confidential.
• Use accurate and current account information.
• Maintain access to the email address associated with the account.
• Use individual accounts rather than sharing credentials between several people.
• Review active sessions and remove access from devices you no longer control.
• Notify us promptly if you believe the account has been accessed without authority.

You are responsible for activity carried out through your account unless that activity results directly from a failure by Estavo to use reasonable care and skill or from another matter for which liability cannot legally be excluded.

The Estavo platform

Estavo provides tools that can help users organise property-management records and workflows. Depending on the available plan and features, this may include:

• Property, tenant and tenancy records.
• Compliance and maintenance information.
• Rent schedules, transactions and financial records.
• Document storage, sharing and document requests.
• Email, portal and other supported communication.
• Tenant Portal access.
• Reports, reminders and dashboard information.
• Marketplace services and optional add-ons.

Features may be introduced, changed, renamed, restricted or discontinued as the service develops. Where a change has a material adverse effect on a paid service, we will provide reasonable notice where practicable.

Your responsibilities

Estavo helps organise the information that users enter. You remain responsible for the accuracy, completeness, lawfulness and appropriate use of that information.

You are responsible for:

• Entering accurate property, tenant and tenancy information.
• Keeping records and dates current.
• Reviewing compliance, maintenance and safety obligations.
• Obtaining any necessary permissions to process personal data.
• Checking reports, calculations and imported information before relying on them.
• Maintaining independent records where legally, professionally or operationally required.
• Determining which users and tenants should have access to information.
• Ensuring that messages and documents are sent to the intended recipient.

Acceptable use

You must use Estavo lawfully and must not use the website or application to:

• Upload unlawful, fraudulent, defamatory or malicious material.
• Infringe another person’s intellectual-property, privacy or data-protection rights.
• Send unsolicited, misleading, abusive or unlawful communications.
• Introduce malware, harmful code or material intended to disrupt the service.
• Attempt to gain unauthorised access to another account, system or record.
• Probe, scan, reverse engineer or interfere with the platform except where permitted by law.
• Use automated methods to extract data without written permission.
• Resell, sublicense or commercially exploit the service unless agreed in writing.
• Use the platform to discriminate unlawfully or facilitate illegal conduct.

We may investigate suspected misuse and may restrict or suspend access where reasonably necessary to protect users, third parties or the platform.

User content and property records

“User content” includes information, documents, images, messages, notes, financial records and other material uploaded to or created within Estavo by a user.

You retain ownership of your user content. You grant Estavo a limited permission to host, store, reproduce, transmit, display and process that content only as reasonably required to provide, secure, maintain and support the service.

You confirm that you have the rights, authority and lawful basis required to upload and process the content you place in Estavo.

You should retain appropriate independent copies of important records. Estavo should not be treated as the sole repository for documents that you are legally or operationally required to retain.

Personal-data processing is also governed by the Privacy Policy and, where applicable, any separate data-processing terms agreed between Estavo and the customer.

Marketplace services and third-party suppliers

Estavo may provide access to optional services through the Marketplace. These may include property services, tenant checks, EPC-related services, SMS credits, storage add-ons or other services made available from time to time.

Some Marketplace services may be provided or fulfilled by independent third-party suppliers. Where this applies:

• The supplier may have its own terms, eligibility requirements and privacy information.
• Results may depend on information supplied by you or obtained from external sources.
• Estimated delivery times are not guaranteed unless explicitly stated.
• A completed order may not be cancellable once processing has started.
• Estavo does not independently guarantee the accuracy of a third party’s data or decision.

The identity of the contracting supplier, applicable price and important service information should be shown before an order is confirmed.

You must review an order carefully before submitting it and must ensure that you have authority to provide any personal or property information required for the service.

Plans, fees and payments

Estavo may offer a free plan, paid plans, usage-based services and optional add-ons. The price and main features applicable to a purchase will be shown before you confirm the order.

Payments may be processed by an external payment provider. Estavo does not normally receive or retain full payment-card details.

Paid services

• You agree to pay the amount displayed at checkout.
• Any applicable taxes or charges will be shown where required.
• Credits or usage allowances may be subject to expiry or service-specific conditions displayed at purchase.
• Storage, SMS or other usage beyond an included allowance may require an additional purchase.

Subscriptions and renewals

Where a paid service renews automatically, the renewal frequency, price and cancellation method will be displayed before purchase. You may cancel future renewal through the available account-management process, subject to any minimum term or notice clearly disclosed before purchase.

Refunds

Refund eligibility depends on the service, whether fulfilment or processing has begun, and any statutory rights that apply. Nothing in these terms removes rights that cannot legally be excluded.

Availability, maintenance and changes

We aim to make Estavo available reliably, but we do not guarantee that the website or application will always be available without interruption or error.

Access may be affected by:

• Planned or emergency maintenance.
• Security updates.
• Internet, hosting or telecommunications failures.
• Third-party supplier or integration outages.
• Events outside our reasonable control.

We may temporarily limit access where reasonably necessary to protect the platform, users, data or connected systems. Where practicable, we will provide notice of significant planned maintenance.

Intellectual property

The Estavo platform, website, software, branding, visual design, documentation and related materials are owned by or licensed to Estavo and are protected by applicable intellectual-property laws.

Subject to these terms, you receive a limited, non-exclusive, non-transferable and revocable right to use Estavo for your own authorised property-management purposes.

You must not:

• Copy, sell, sublicense or distribute the platform or documentation.
• Remove ownership, copyright or trade-mark notices.
• Create a competing service using protected Estavo materials.
• Use the Estavo name or branding without written permission.

These restrictions do not limit any activity that applicable law expressly permits and which cannot lawfully be restricted by contract.

Estavo does not provide professional advice

Estavo provides software for organising records, workflows and services. Information presented through the platform, documentation, reports, reminders, articles or support communications is general information only.

Estavo does not provide legal, tax, accounting, financial, surveying, property, safety or compliance advice.

You remain responsible for:

• Understanding and meeting the obligations applicable to your property.
• Checking certificates, dates, reports and third-party results.
• Obtaining advice from a suitably qualified professional where required.
• Making your own property-management and commercial decisions.

Our responsibility and liability

Nothing in these terms excludes or limits liability where it would be unlawful to do so. This includes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and any statutory rights that cannot legally be excluded.

Consumers

If you use Estavo as a consumer, we are responsible for losses that are a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for losses that were not foreseeable or for business losses arising from consumer use.

Business users

If you use Estavo wholly or mainly for business purposes, we will not be liable for indirect or consequential loss, loss of profit, revenue, business, opportunity, anticipated savings, goodwill or reputation, except where such exclusion is prohibited by law.

Subject to liabilities that cannot be limited, our total aggregate liability arising from a paid service should not exceed the greater of:

• The amount you paid to Estavo for the affected service during the 12 months preceding the event giving rise to the claim; or
• £100 where no amount was paid for the affected service.

This proposed cap should be reviewed by a solicitor to confirm it is appropriate and enforceable for Estavo’s actual customer base and service model.

We are not responsible for loss arising from inaccurate information entered by a user, decisions made by an independent supplier, or a user’s failure to maintain appropriate backups, except to the extent that Estavo is legally responsible for that loss.

Suspension, termination and account closure

You may stop using Estavo at any time and may request account closure through the available account or support process.

Before requesting closure, you should:

• Download records you need to retain.
• Review pending Marketplace orders.
• Check active subscriptions or add-ons.
• Review Tenant Portal and other user access.
• Resolve any outstanding charges.

We may suspend or terminate access where reasonably necessary because:

• You materially or repeatedly breach these terms.
• Payment for a paid service remains overdue.
• Your use creates a security, legal or operational risk.
• We reasonably suspect fraud, abuse or unauthorised access.
• We are required to act by law, regulation, court order or a competent authority.
• We discontinue the relevant service.

Where appropriate and lawful, we will provide notice and a reasonable opportunity to correct a breach before termination.

Account closure does not necessarily require the immediate deletion of every record. Information may be retained where reasonably required for legal, security, accounting, dispute-resolution or legitimate operational purposes, as described in the Privacy Policy.

Changes to these terms

We may update these terms to reflect changes to the platform, services, law, security requirements or business operations.

The updated date will be shown at the top of the page. Where a change materially affects your rights or a paid service, we will provide reasonable notice by email, within the application or through another appropriate method.

Changes will not apply retrospectively in a way that unlawfully removes rights already acquired.

General provisions

Entire agreement

These terms, together with the Privacy Policy, applicable order information and any expressly incorporated service terms, form the agreement governing your use of Estavo.

Severability

If a provision is found to be invalid or unenforceable, the remaining provisions will continue to apply. The affected provision will be treated as modified only to the minimum extent necessary to make it valid and enforceable.

No waiver

A delay or failure to enforce a right does not mean that the right has been waived.

Transfer

You may not transfer your rights or obligations under these terms without our written consent. We may transfer our rights or obligations as part of a business transfer, restructuring or service reorganisation, provided this does not reduce any rights that cannot legally be reduced.

Third-party rights

Except where expressly stated, a person who is not a party to these terms has no right to enforce them.

Governing law and disputes

These terms are governed by the laws of England and Wales.

If you are a consumer resident elsewhere in the United Kingdom, you may also benefit from mandatory protections and court rights available in the part of the United Kingdom where you live.

Business users agree that the courts of England and Wales will have exclusive jurisdiction over disputes relating to these terms or the Estavo service.

Before starting formal proceedings, both parties should attempt to resolve the matter by contacting the other party and providing a reasonable description of the dispute.
